Terms of Service

These terms are between TechWare House, Opp. VTI, Sargodha Road, Chiniot (“we”, “us”) and the business that opens an onlinePOS account (“you”, “the shop”). By creating an account or using the software you accept them.

1. What the service is

onlinePOS is cloud-based point-of-sale and business management software. It is provided as a service over the internet. You do not receive a copy of the software, and there is nothing to install on your own server. We may add, change or remove features over time. Where a change removes something you rely on, we will tell you before it happens.

2. Your account

• Your shop is given its own address on onlinepos.pk. That address is allocated to you for as long as your account is open; it is not sold and does not become your property.
• You are responsible for everyone who signs in under your account, owners, managers and salespeople alike, and for what they do with it.
• Keep your passwords to yourself. If you think an account has been compromised, tell us straight away.
• The details you give us when you sign up must be accurate, and you must keep them current.

3. Trial

We offer a free trial of 7 days. During the trial the software is fully functional. If you do not subscribe by the end of it, the account is suspended and your data is kept for the period in section 9 before being deleted.

4. Fees and payment

• Fees are quoted and payable in Pakistani Rupees, in advance, for the billing period you choose.
• Prices are exclusive of any government taxes or duties, which are added where applicable.
• If an invoice is unpaid we will remind you. If it remains unpaid we may suspend the account after 15 days. Your data is not deleted on suspension. You keep it, you simply cannot use the software until the bill is settled.
• We may change our prices. Existing shops will be told at least one month before a change takes effect, and the new price applies from your next renewal.
• Fees are not refundable. Once a billing period has been paid for, it is not refunded, in whole or in part, whether the account is closed early or the software goes unused. The free trial exists so that you can decide before you pay.

5. Your data is yours

Everything you record in onlinePOS, your products, sales, customers, suppliers, staff records and accounts, belongs to you. We claim no ownership of it and we do not sell it, share it between shops, or use it to advertise to anyone.

You can export your data from inside the software at any time, and you can ask us for a full export in a machine-readable format. We will provide it while your account is open and for the retention period in section 9 after it closes.

6. What you are responsible for

You are responsible for the accuracy and lawfulness of what you put into the software. In particular:

• Your customers' details. If you record a customer's name, phone number or address, you are the one who must have a lawful reason to hold it and to contact them.
• WhatsApp messages. If you send invoices or messages to customers over WhatsApp, you must have their consent and you must comply with WhatsApp's own policies. Sending unwanted messages can get your number blocked, and that is between you and WhatsApp.
• Your staff records. Attendance, salaries and advances are employment records, and employment law applies to them as it always did.

7. Tax and FBR invoicing

This section matters more than any other, so it is stated plainly.

onlinePOS can transmit your sales invoices to the Federal Board of Revenue's digital invoicing system. When it does, it transmits exactly what you recorded: the items, the amounts, the tax rate you charged and the buyer's details you entered. We do not adjust, round, correct or optimise any of it on the way through, by design.

It follows that you are responsible for what is submitted. Whether you must register, which rate applies to a product, whether an HS or PCT code is correct, and whether a return is filed correctly and on time are all your obligations under Pakistani tax law. The HS code suggestions in the software are a convenience to save typing. They are not a ruling, and they are not advice. We are software providers, not tax advisers or lawyers. If you are unsure, ask a practitioner.

FBR invoicing is off unless you switch it on, and it depends on FBR's own systems being available. We are not responsible for FBR downtime, rejected submissions caused by incorrect data, or penalties arising from either.

8. Acceptable use

You may not:

• Use the software for anything unlawful, or to record transactions you know to be false.
• Try to access another shop's data, or probe, scan or test the security of the service.
• Resell, sublicense or white-label the service without our written agreement.
• Copy, decompile or reverse-engineer the software, or attempt to extract its source.
• Overload the service, whether deliberately or through automated requests at a volume normal business use would not produce.

9. Suspension, termination and what happens to your data

• You may close your account at any time. As section 4 says, the unused part of a period already paid for is not refunded.
• We may suspend an account for non-payment, or for a breach of section 8. Where the breach can be fixed, we will tell you what is wrong and give you a reasonable chance to fix it first, unless it is serious enough that waiting would cause harm.
• After an account is closed we keep its data for 60 days so it can be recovered or exported, and then delete it permanently.

10. Availability

We work to keep the service available and we back it up, but we do not promise it will never be interrupted. Maintenance is carried out at quiet hours where we can choose the time, and we will give notice where a planned interruption is likely to be noticed. We are not liable for interruptions caused by things outside our control: your internet connection, a power failure, your hosting or ours, WhatsApp, FBR, or a wider outage.

11. Our intellectual property

The software, its design, its source code and the onlinePOS name and logo remain ours. Using the service gives you the right to use it while your account is open, and nothing more.

12. Third-party services

The software connects to services we do not run: FBR's digital invoicing system, WhatsApp, our email provider and payment channels. Their availability and their terms are theirs, not ours, and we cannot promise anything on their behalf.

13. Liability

The service is provided as it is. To the extent the law permits, we exclude implied warranties and we are not liable for indirect or consequential loss, loss of profit, loss of business, or losses arising from data you entered incorrectly.

Where we are liable, our total liability to you for all claims in any twelve-month period is limited to the fees you paid us in the twelve months before the claim arose.

Nothing here excludes liability that cannot lawfully be excluded.

14. Indemnity

You will cover us against claims brought by a third party arising from your use of the service in breach of these terms, or from data you recorded or messages you sent.

15. Changes to these terms

We may update these terms. If a change materially affects your rights, we will tell you by email before it takes effect. Continuing to use the service after that means you accept the revised terms.
